These Terms & Conditions (“Terms”, “Terms and Conditions”, or “Agreement”) govern your access to and use of the AightLab website, software, desktop applications, mobile applications, web applications, SaaS products, AI-powered tools, online services, digital products, subscriptions, and other products or services provided by AightLab (“AightLab”, “we”, “us”, or “our”).

AightLab operates from Karnataka, India, and is registered under the Udyam Registration system.

These Terms form a legally binding agreement between you and AightLab. By creating an account, purchasing a product, starting a subscription, downloading or installing an AightLab application, accessing an AightLab service, or otherwise using AightLab, you acknowledge that you have read, understood, and agreed to these Terms.

If you do not agree with these Terms, you must not access, purchase, download, install, subscribe to, or use the applicable AightLab service.

1. About AightLab

AightLab is a technology business that develops and provides digital products and online technology services.

Depending on what is available at a particular time, AightLab may provide desktop applications, mobile applications, web applications, Software-as-a-Service (“SaaS”) products, online services, AI-powered tools, digital products, one-time purchase products, monthly subscription services, productivity tools, utility software, leaderboard or ranking features, and other technology products or services.

Not every product, feature, platform, or service described in these Terms will necessarily be available at all times.

AightLab may introduce new products, modify existing products, improve features, discontinue features, change plans, or develop entirely new services as the business evolves.

2. Acceptance of These Terms

These Terms become applicable when you create an AightLab account, purchase an AightLab product, subscribe to an AightLab service, download or install an AightLab application, access an account-based AightLab service, or otherwise use AightLab.

Where a particular product, subscription, promotion, or service has additional terms, those terms may also apply and will form part of the agreement governing that particular service.

If there is a conflict between these Terms and a separate written agreement expressly entered into between you and AightLab, the specific written agreement will control to the extent of that conflict.

3. Eligibility

AightLab services are intended primarily for individuals who are 18 years of age or older.

By using AightLab, you represent that you are at least 18 years old and legally capable of entering into a binding agreement.

You also represent that the information you provide to AightLab is accurate and that you will use the services in compliance with these Terms and all applicable laws.

Where applicable law permits a minor to use a service with parental or legal guardian involvement, such use must be under the responsibility and supervision of the appropriate parent or legal guardian.

AightLab may suspend or terminate an account if it reasonably believes the account was created or used in violation of applicable age requirements.

4. AightLab Accounts

Certain AightLab products and services require an account.

You are responsible for providing accurate information when creating and maintaining your account and for keeping that information reasonably current.

Depending on the service, your account may allow you to manage information such as your name, username, password, subscription details, and other information made available through the account interface.

Your account is intended for your own use unless the applicable AightLab plan expressly provides otherwise.

You must not create an account using false or misleading information, impersonate another person or organisation, or use another person's account without permission.

5. Account Security

You are responsible for maintaining reasonable security over your account and login credentials.

You should protect your username, password, authentication credentials, devices, email account, and other information used to access AightLab.

You must not knowingly disclose your password or authentication credentials to another person.

If you believe that your account has been compromised, accessed without authorisation, or otherwise exposed, you should contact AightLab promptly at:

AightLab may take reasonable steps to protect the account, including requesting verification, resetting credentials, temporarily restricting access, or suspending the account where necessary for security.

6. Account Sharing and Transfer

Unless an applicable AightLab plan expressly allows multiple users, your account is licensed for your individual use.

You must not sell, rent, lease, transfer, sublicense, or otherwise provide your account to another person.

You must not allow another person to use your credentials or access an individual account on your behalf.

You must not purchase a personal licence with the intention of allowing another person to use the product instead of you.

Where AightLab offers business, enterprise, team, or multi-user plans, use of those plans will be governed by the applicable plan restrictions and any additional agreement or terms.

AightLab may suspend or terminate accounts involved in unauthorised account sharing, transfer, resale, or other licence abuse.

7. Products and Services

AightLab may make products and services available through different commercial models.

The features, limitations, supported platforms, technical requirements, access rights, and duration applicable to a product will depend on the product description, plan selected, and applicable terms presented at or before purchase.

AightLab does not guarantee that a feature available today will remain available indefinitely, and a product may change as it is updated or improved.

8. One-Time Purchases

Certain AightLab products may be sold through a one-time payment.

A one-time purchase gives you the right to use the applicable product according to the licence, limitations, supported platforms, and conditions applicable to that product.

A one-time payment does not automatically mean that you own the software's source code or intellectual property, or that you receive every future AightLab product or every future version of the purchased product.

Unless AightLab expressly states otherwise, a one-time purchase provides a limited licence to use the purchased product rather than a transfer of ownership of AightLab's intellectual property.

9. Monthly Subscriptions

Certain AightLab services may be offered through monthly subscription plans.

A subscription provides access to the features included in the applicable plan during the subscription period, subject to successful payment and compliance with these Terms.

The applicable product page or checkout process may specify the subscription price, included features, limitations, usage limits, and other plan conditions.

Unless otherwise stated, a monthly subscription is separate from a one-time purchase and does not automatically include products or services that are not part of the selected plan.

10. Subscription Renewal

Where a monthly subscription is configured for recurring billing, it may automatically renew for another billing period unless cancelled before the next renewal.

The applicable renewal amount will be the subscription price presented to you in accordance with the applicable pricing and notice requirements.

You are responsible for cancelling a subscription before the next renewal if you do not wish the subscription to continue.

Cancellation generally prevents future renewal and does not automatically create a refund for an already-paid subscription period unless a refund is otherwise available under AightLab's Refund & Cancellation Policy or applicable law.

11. Subscription Cancellation

You may cancel a subscription using the cancellation mechanism made available by AightLab or the applicable payment platform.

Unless otherwise stated, cancellation takes effect for future billing and does not necessarily terminate access immediately.

Where you have already paid for a billing period, access may generally continue until that paid period ends unless AightLab terminates the account earlier in accordance with these Terms.

12. Software Licence

When you purchase or receive access to AightLab software, AightLab grants you a limited, non-exclusive, non-transferable, revocable licence to use the software for its intended purpose and in accordance with the applicable product plan and these Terms.

The licence does not transfer ownership of the software, source code, object code, trademarks, designs, documentation, or other intellectual property to you.

Except where applicable law expressly permits otherwise, you must not copy, modify, distribute, sell, rent, lease, sublicense, reverse engineer, decompile, disassemble, attempt to derive source code from, or create unauthorised derivative works from AightLab software.

You must not remove proprietary notices, licensing information, copyright notices, or technical restrictions included within AightLab products.

Nothing in these Terms is intended to restrict a right that cannot legally be restricted under applicable law.

13. Desktop Applications

AightLab may provide applications designed for desktop operating systems.

The availability and compatibility of a desktop application may depend on the operating system, hardware, drivers, security configuration, available resources, third-party dependencies, and other technical requirements.

You are responsible for ensuring that your device meets the applicable published requirements before purchasing or installing a desktop product.

AightLab may require application updates for security, compatibility, performance, bug fixes, or new features.

AightLab does not guarantee indefinite compatibility with every future version of every third-party operating system or hardware configuration.

14. Mobile Applications

AightLab may provide applications for mobile devices.

Mobile applications may be distributed through third-party application stores and may be subject to the store's separate terms and requirements.

You are responsible for maintaining a compatible device and supported operating-system version.

AightLab may release updates, modify features, or discontinue support for older versions where reasonably necessary for security, compatibility, performance, or operational reasons.

15. SaaS and Online Services

Certain AightLab services may operate through a web browser, online account, cloud infrastructure, or other server-side systems.

SaaS and online services may require an active internet connection and a valid AightLab account.

AightLab may use third-party cloud, hosting, infrastructure, security, authentication, email, payment, AI, and other technology providers to operate such services.

Although AightLab aims to provide reliable service, uninterrupted availability cannot be guaranteed.

Temporary interruptions may occur because of maintenance, infrastructure failures, network problems, cybersecurity incidents, third-party outages, software updates, regulatory requirements, or circumstances outside AightLab's reasonable control.

16. AI-Powered Features

AightLab may provide features that use artificial intelligence, machine learning, generative AI, automated processing, or related technologies.

AI-generated information can sometimes be inaccurate, incomplete, outdated, inconsistent, misleading, or unsuitable for a particular purpose.

You are responsible for reviewing and independently verifying AI-generated output before relying upon it.

Unless expressly stated otherwise, AightLab AI features are not intended to replace qualified professional advice, including legal, medical, financial, investment, tax, regulatory, or other professional advice.

You remain responsible for decisions you make and actions you take based on information generated or presented through AightLab.

17. User Data and Uploads

AightLab does not generally provide users with a general-purpose facility for uploading arbitrary files, documents, databases, images, or other unrelated personal information.

Unless a particular AightLab product expressly permits an upload or storage function, you must not attempt to upload unrelated files, confidential data, malicious software, stolen information, unlawful content, or other material that is not required for the intended operation of the service.

Where a future AightLab product permits user uploads or stored data, the applicable product terms or privacy documentation may provide additional requirements concerning that functionality.

18. Acceptable Use

You agree to use AightLab only for lawful and legitimate purposes and in accordance with these Terms.

You must not use AightLab in a way that could damage, disable, overburden, interfere with, or compromise the operation or security of AightLab systems or another person's access to the services.

You must not use AightLab for fraud, unlawful activity, unauthorised access, distribution of malware, abuse of payment systems, infringement of intellectual-property rights, violation of privacy rights, impersonation, harassment, threats, or other conduct that violates applicable law.

19. Prohibited Activities

Without limiting the other restrictions in these Terms, you must not reverse engineer or attempt to obtain the source code of AightLab software; bypass licensing or subscription restrictions; circumvent technical controls; crack or modify activation systems; redistribute paid products without permission; sell or share account credentials; scrape AightLab content or systems without permission; deploy automated systems designed to abuse AightLab infrastructure; introduce viruses, malware, ransomware, or other malicious code; attempt unauthorised access to accounts, servers, databases, APIs, or systems; manipulate rankings or leaderboards through fraudulent means; conduct denial-of-service attacks; conduct unauthorised penetration testing; or use AightLab to facilitate illegal activity.

AightLab may investigate suspected violations and may take appropriate technical, contractual, or legal action.

20. Security Testing and Vulnerability Research

You must not conduct penetration testing, vulnerability scanning, exploitation, denial-of-service testing, credential attacks, reverse engineering, or similar activity against AightLab systems without prior written authorisation from AightLab.

If you discover a security vulnerability, you are encouraged to report it responsibly to AightLab through an appropriate support or security channel rather than exploiting it.

Unauthorised security testing may result in account suspension or termination and may be reported to appropriate authorities where required or reasonably necessary.

21. Intellectual Property

All intellectual-property rights associated with AightLab remain with AightLab or its applicable licensors.

This includes, where applicable, the AightLab name, trademarks, logos, website design, software, source code, object code, application interfaces, graphics, product designs, documentation, databases, text, original content, videos, audio, product architecture, marketing materials, and other protected materials.

Purchasing, downloading, subscribing to, or accessing an AightLab product does not transfer ownership of AightLab's intellectual property to you.

22. AightLab Branding and Trademarks

You must not use the AightLab name, logo, trademarks, domain name, branding, or other proprietary brand assets in a manner that suggests that you are AightLab, represent AightLab, are an authorised AightLab representative, or are endorsed or sponsored by AightLab unless AightLab has expressly authorised such use in writing.

Unauthorised use of AightLab branding may result in enforcement of applicable intellectual-property rights.

23. Purchases and Payments

When purchasing an AightLab product or service, you agree to provide accurate information required to complete and manage the transaction.

Prices shown by AightLab may be subject to applicable taxes, duties, payment-provider charges, or other amounts required by law or disclosed at checkout.

AightLab reserves the right to correct obvious pricing, product, promotional, or listing errors.

A transaction may be reviewed, delayed, refused, or cancelled where there is a reasonable concern involving payment fraud, unauthorised payment activity, technical error, duplicate transactions, promotional abuse, or other legitimate security or operational issues.

Where a refund is legally or contractually due following cancellation, the applicable amount will be returned through the appropriate payment method or process.

24. Refunds

AightLab primarily provides digital products and services. Because many digital products can be immediately accessed, activated, or downloaded, refunds are subject to AightLab's Refund & Cancellation Policy.

As a general rule, no refund is available after successful download, activation, or access to a digital product, except where AightLab approves an exception, a genuine unresolved technical problem qualifies for a refund, or applicable law requires otherwise.

A technical refund may be considered where a genuine issue attributable to AightLab prevents reasonable use of the purchased service, the issue is reported within the applicable period, AightLab has a reasonable opportunity to resolve it, and the issue cannot reasonably be resolved.

Nothing in these Terms removes or restricts any consumer right or statutory remedy that cannot lawfully be excluded.

25. Chargebacks and Payment Disputes

Where you believe a transaction is incorrect or there is an issue with a purchase, you should contact AightLab at support@aightlab.com so the issue can be investigated where reasonably possible.

Unauthorised or abusive chargebacks may result in an account review, temporary suspension, or other appropriate action while the transaction is investigated.

This does not prevent you from exercising any rights available under applicable law.

26. Downloads and Digital Delivery

AightLab primarily delivers its products and services electronically.

Depending on the product, delivery may occur through an AightLab account, download link, software activation, application distribution platform, subscription activation, or online account access.

After successful payment confirmation, AightLab will generally make the purchased digital product or service available through the applicable delivery mechanism.

If you experience a technical problem receiving or accessing a purchased product, you should contact support@aightlab.com.

27. Updates and Future Versions

AightLab may release software updates, security patches, bug fixes, compatibility updates, feature improvements, and new versions.

AightLab may require certain updates for continued access, security, performance, or compatibility.

A one-time purchase does not automatically guarantee access to every future AightLab product or future generation of a product unless AightLab expressly states otherwise.

Subscription plans may include updates according to the applicable subscription terms.

28. Third-Party Services

AightLab may depend on third-party services for functions such as payments, cloud infrastructure, hosting, application distribution, authentication, communications, security, analytics, or AI functionality.

Third-party services may be subject to separate terms, policies, technical limitations, and availability requirements.

AightLab is not responsible for independent changes or failures of third-party services except to the extent applicable law requires otherwise.

29. Application Stores

Where AightLab applications are distributed through third-party application stores, those platforms may impose additional terms.

Your relationship with the application-store provider may therefore be governed by that provider's applicable terms as well as these Terms.

Application-store providers may process information relating to downloads, purchases, updates, device compatibility, and other platform activities according to their own policies.

30. Service Availability

AightLab aims to maintain reliable products and services but does not guarantee that any service will always be uninterrupted, error-free, compatible with every device, permanently available, completely secure, or free from all bugs.

Temporary interruptions may occur because of maintenance, software updates, security measures, infrastructure issues, network failures, third-party outages, or circumstances outside AightLab's reasonable control.

31. Modification or Discontinuation of Services

AightLab may modify, suspend, replace, or discontinue a product, service, feature, application, plan, or technical component.

Such changes may occur because of technical developments, security requirements, legal requirements, third-party dependencies, business decisions, product improvements, low usage, operational considerations, or other legitimate reasons.

Where a paid service is permanently discontinued before the end of a paid period and applicable law requires an adjustment, refund, or other remedy, AightLab will comply with the applicable requirement.

32. Account Suspension and Termination

AightLab may suspend or terminate your account where reasonably necessary because of a violation of these Terms, fraud, payment abuse, unauthorised account sharing, security threats, unauthorised access, illegal activity, reverse engineering, attempts to bypass licensing controls, misuse of promotional programs, harmful conduct, or other serious misuse of AightLab services.

Where reasonably practicable and appropriate, AightLab may provide notice or an opportunity to resolve an issue before taking termination action.

However, immediate suspension or termination may occur where necessary to protect users, prevent security threats, investigate suspected fraud, prevent substantial harm, or comply with applicable law.

33. Effect of Termination

Following termination, your right to access the affected service may end and any applicable software licence may terminate to the extent permitted by the relevant licence and applicable law.

You must stop using AightLab products or services for which you no longer have a valid licence or entitlement and must not attempt to regain access through technical circumvention or unauthorised means.

Provisions relating to intellectual property, prohibited conduct, disclaimers, liability, indemnification, dispute resolution, and other provisions that by their nature should survive termination will continue to apply.

34. Disclaimer of Warranties

To the maximum extent permitted by applicable law, AightLab services are provided on an “as available” basis.

AightLab does not guarantee that the services will always satisfy every individual requirement, operate without interruption, remain compatible with every device, be free of all defects, or provide a particular commercial or personal result.

AightLab does not guarantee that AI-generated information will always be accurate or that every feature will remain available permanently.

Nothing in these Terms excludes or limits a statutory warranty, consumer protection, or legal right that cannot lawfully be excluded.

35. Limitation of Liability

To the maximum extent permitted by applicable law, AightLab will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses arising from or relating to your use of AightLab services.

Such losses may include, where legally permissible, loss of profits, loss of business, loss of opportunities, loss of anticipated savings, business interruption, loss of reputation, or other indirect economic losses.

To the extent permitted by law, AightLab's aggregate liability arising from a particular paid transaction will generally not exceed the amount actually paid by you for the specific AightLab product or service giving rise to the claim.

This limitation does not apply to liability that cannot legally be excluded or limited under applicable law.

36. User Responsibility for Decisions

You are responsible for evaluating information provided through AightLab and determining whether it is appropriate for your particular circumstances.

This is especially important for AI-generated results, automated recommendations, rankings, analytics, productivity suggestions, or other automatically generated information.

You should independently verify information before relying on it for important legal, financial, medical, employment, educational, business, security, or other consequential decisions.

37. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless AightLab, its owners, operators, employees, contractors, service providers, and representatives from claims, liabilities, losses, damages, costs, and expenses arising from your unlawful use of AightLab, your violation of these Terms, your misuse of the software or services, your infringement of another person's rights, fraudulent activity associated with your account, or your violation of applicable law.

This provision applies only to the extent permitted under applicable law.

38. Privacy

Your use of AightLab may involve the processing of personal information.

AightLab's collection, use, storage, protection, retention, and other processing of personal information are described in the AightLab Privacy Policy.

The Privacy Policy and these Terms should be read together.

Where a particular AightLab product has additional privacy information, that information may also apply to the relevant service.

39. Electronic Communications

By using AightLab, you agree that AightLab may communicate with you electronically regarding your account, purchases, subscriptions, security, service operation, support requests, legal notices, and other necessary matters.

Such communications may include purchase confirmations, account notifications, password-reset messages, security alerts, subscription notices, service announcements, support communications, and legal notices.

Where permitted by law, electronic communications may satisfy applicable notice or communication requirements.

40. Marketing Communications

Where permitted by applicable law, AightLab may send promotional communications concerning its products, services, offers, updates, and other business activities.

Where available, you may unsubscribe from promotional communications.

Transactional, account-security, legal, billing, password-reset, and other essential service communications may continue where necessary.

41. Promotions, Coupons, and Discounts

AightLab may occasionally provide promotional pricing, coupons, discounts, referral offers, limited-time offers, free trials, or other promotional benefits.

Each promotion may have additional conditions, eligibility requirements, expiration dates, usage limits, or restrictions.

Unless expressly stated otherwise, promotions cannot be exchanged for cash, may not be combined with other offers, and may be limited to eligible users.

AightLab may withdraw or modify a promotion where reasonably necessary to prevent fraud, abuse, technical errors, or other misuse.

42. Leaderboards and Ranking Features

Certain AightLab products may include leaderboards, rankings, scores, performance metrics, achievements, usage statistics, or similar competitive or comparative features.

Such features may rely on automated calculations, recorded activity, predefined rules, or algorithms.

AightLab may correct rankings, remove fraudulent activity, recalculate scores, restrict manipulation, or change the underlying rules when reasonably necessary.

You must not manipulate rankings through multiple accounts, automated abuse, fraudulent activity, technical exploitation, or other unfair means.

AightLab does not guarantee that a particular ranking or score will remain unchanged.

43. Beta and Experimental Features

AightLab may make beta, experimental, preview, early-access, testing, or other non-final functionality available from time to time.

These features may contain bugs, behave unexpectedly, change without notice, have limited availability, be temporarily disabled, or be discontinued.

Unless AightLab expressly states otherwise, experimental functionality should not be treated as guaranteed or suitable for critical operations.

44. Feedback and Suggestions

If you voluntarily provide AightLab with suggestions, feedback, ideas, feature requests, or improvement recommendations, AightLab may use that feedback for legitimate business and product-development purposes without owing you compensation, unless a separate written agreement states otherwise.

You should not submit confidential proprietary information through ordinary feedback channels.

45. Fraud Prevention

AightLab may use technical and operational measures to detect and prevent fraudulent transactions, account abuse, licence abuse, credential misuse, automated attacks, promotional abuse, suspicious behaviour, or other activity that may threaten AightLab or its users.

AightLab may temporarily restrict a transaction or account while suspicious activity is reviewed.

46. Force Majeure

AightLab will not be responsible for delays or failures caused by circumstances beyond its reasonable control.

Such circumstances may include natural disasters, fires, floods, earthquakes, war, terrorism, civil unrest, government actions, major internet disruptions, telecommunications failures, cloud-provider outages, power failures, cybersecurity incidents, epidemics, pandemics, or other events beyond reasonable control.

47. Changes to These Terms

AightLab may update these Terms from time to time to reflect changes in products, services, business operations, technology, security requirements, legal requirements, regulatory requirements, or other legitimate business needs.

The updated Terms will be published on AightLab's website with an updated Last Updated date.

Where appropriate or required by applicable law, AightLab may provide additional notice of material changes.

Your continued use of AightLab after the effective date of updated Terms constitutes acceptance of the revised Terms, subject to applicable law.

48. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permissible.

The remaining provisions will continue in full force and effect.

49. No Waiver

If AightLab does not immediately enforce a particular provision of these Terms, that does not mean AightLab has waived its right to enforce that provision later.

A waiver of a particular provision must be intentional and, where appropriate, provided in writing.

50. Entire Agreement

These Terms, together with the AightLab Privacy Policy, Cookie Policy, Refund & Cancellation Policy, Shipping & Delivery Policy, applicable product terms, subscription terms, licence terms, promotional terms, and any other expressly incorporated policies, constitute the agreement governing your use of AightLab services.

51. Assignment

You may not assign or transfer your rights or obligations under these Terms without AightLab's prior written consent.

AightLab may assign or transfer its rights or obligations as part of a merger, acquisition, restructuring, financing, sale of assets, transfer of business, or similar legitimate corporate transaction, subject to applicable law.

52. Governing Law

These Terms are governed by and interpreted in accordance with the laws of India.

Subject to any mandatory consumer rights or other rights that cannot lawfully be restricted, disputes relating to these Terms or AightLab services shall be subject to the jurisdiction of the competent courts in Bengaluru, Karnataka, India.

Nothing in this clause is intended to unlawfully remove or restrict a right or remedy available under applicable law.

53. Dispute Resolution and Complaints

AightLab encourages users to contact the company first so that genuine complaints and disputes can be reviewed and resolved where reasonably possible.

Nothing in this section prevents you from exercising a statutory right, consumer remedy, or other legal remedy available to you under applicable law.

54. Consumer Rights

Nothing in these Terms is intended to remove, restrict, or waive any mandatory consumer protection, statutory warranty, refund right, grievance mechanism, or other legal protection that cannot lawfully be excluded under Indian law.

Where a mandatory legal right applies to a transaction or service, that right will continue to apply notwithstanding anything inconsistent in these Terms.

56. Acknowledgement

By creating an AightLab account, purchasing a product, subscribing to a service, downloading or installing software, or otherwise using AightLab, you acknowledge that you have read and understood these Terms and agree to be legally bound by them.
